These Terms of Service ("Terms") constitute a legally binding agreement between Kysira Corporation ("Kysira," "Company," "we," "our," or "us") and any individual or entity ("User," "you," or "your") accessing or using the Kysira website, platform, products, services, APIs, software, documentation, or related offerings (collectively, the "Services").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Eligibility

You must be at least eighteen (18) years old and have authority to enter into legally binding agreements on behalf of yourself or your organization.

If you access the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.

2. Services

Kysira provides cybersecurity products and services designed to identify, prevent, analyze, and mitigate cyber threats through artificial intelligence, intent analysis, behavioral analytics, threat intelligence, and related technologies.

The Services may include:

  • Website access
  • Product demonstrations
  • Trial services
  • APIs
  • Software downloads
  • Documentation
  • Customer portals
  • Enterprise cybersecurity products
  • Technical support services

Kysira may modify, suspend, or discontinue any portion of the Services at any time.

3. Enterprise Customers

If you have entered into a separate Enterprise License Agreement, Master Services Agreement, Subscription Agreement, Order Form, or other written agreement with Kysira, that agreement shall govern your use of the applicable Services and supersede these Terms in the event of any conflict.

These Terms apply only to matters not addressed by such agreements.

4. Accounts

You may be required to create an account to access certain Services. You agree to:

  • Provide accurate information
  • Maintain current account information
  • Protect login credentials
  • Promptly notify Kysira of unauthorized access

You are responsible for all activity occurring under your account.

5. Acceptable Use

You shall not:

  • Violate applicable laws or regulations
  • Interfere with operation of the Services
  • Attempt unauthorized access to systems or networks
  • Reverse engineer or decompile the Services
  • Introduce malware, ransomware, or malicious code
  • Circumvent security controls
  • Use the Services to conduct unlawful surveillance
  • Use the Services to violate privacy rights
  • Misrepresent your identity or affiliation

Kysira may suspend or terminate access for violations of this section.

6. Intellectual Property

The Services and all associated intellectual property are owned by Kysira or its licensors. This includes:

  • Software and source code
  • AI models and algorithms
  • Documentation
  • Trademarks and logos
  • Threat intelligence and databases
  • Content

No ownership rights are transferred to you. Except as expressly permitted, you may not copy, distribute, modify, or create derivative works of the Services.

7. Customer Data

You retain ownership of all data submitted to or processed through the Services. You grant Kysira a limited license to process such data solely for:

  • Providing the Services
  • Security operations
  • Technical support
  • Compliance obligations

Kysira may use anonymized and aggregated data for analytics, research, service improvement, and threat intelligence development.

8. Privacy

Your use of the Services is subject to Kysira's Privacy Policy. By using the Services, you acknowledge and agree to the collection and processing of information as described in the Privacy Policy.

9. Security

Kysira maintains commercially reasonable administrative, technical, and organizational safeguards designed to protect the Services. However, no cybersecurity solution or internet-based service can guarantee complete security.

10. AI and Threat Detection

The Services may utilize artificial intelligence, machine learning, behavioral analysis, threat intelligence, and automated decision-making technologies. You acknowledge that:

  • AI-generated outputs may not always be accurate
  • Threat assessments are probabilistic in nature
  • Human review may be necessary
  • Security recommendations should be independently evaluated

The Services are intended to enhance security operations and not replace professional judgment.

11. Security Efficacy Disclaimer

Any statements regarding security performance — including references to attack prevention rates, detection rates, response times, or threat mitigation effectiveness — are based upon testing, historical observations, customer deployments, or internal benchmarking. Such statements are provided for informational purposes only and do not constitute warranties, guarantees, or contractual commitments regarding future performance.

Customer environments, threat actors, configurations, and operational conditions vary significantly. Kysira does not guarantee prevention of any particular cyberattack, security incident, breach, vulnerability, or loss.

12. Feedback

If you provide suggestions, comments, recommendations, or feedback regarding the Services, Kysira may use such feedback without restriction or compensation.

13. Third-Party Services

The Services may interact with third-party products, cloud providers, APIs, or software platforms. Kysira is not responsible for third-party services and makes no warranties regarding their availability or performance.

14. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, KYSIRA DISCLAIMS ALL WARRANTIES, INCLUDING:
  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY
  • RELIABILITY
  • SECURITY
  • UNINTERRUPTED AVAILABILITY

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KYSIRA SHALL NOT BE LIABLE FOR:
  • INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS OR DATA
  • BUSINESS INTERRUPTION
  • LOSS OF GOODWILL
KYSIRA'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO KYSIRA DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

16. Indemnification

You agree to defend, indemnify, and hold harmless Kysira and its officers, employees, directors, affiliates, and agents from claims arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of applicable law
  • Your infringement of third-party rights

17. Export Compliance

You shall comply with all applicable export control laws, sanctions regulations, and trade restrictions. You may not access or use the Services in violation of applicable export laws.

18. Termination

Kysira may suspend or terminate your access to the Services at any time if:

  • You violate these Terms
  • You create security risks
  • Required by law
  • Necessary to protect the Services

Upon termination, all rights granted under these Terms immediately cease.

19. Governing Law

These Terms shall be governed by the laws of the State of Delaware without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware.

20. Changes to These Terms

Kysira may modify these Terms from time to time. Updated Terms will be posted on the website with a revised effective date. Continued use of the Services following such changes constitutes acceptance of the updated Terms.
